Welcome to OneAxis Cloud. By accessing or using our website, services, or consulting solutions, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By accessing or using the OneAxis Cloud website (the "Site") or any services provided by OneAxis Cloud ("Services"), you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or Services.

2. Services

OneAxis Cloud provides enterprise AI consulting, cloud engineering, and data modernization services. The specific scope of work, deliverables, and timelines for any engagement will be defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between you and OneAxis Cloud.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site.

4. Intellectual Property

All content included on the Site, such as text, graphics, logos, images, audio clips, video, data, music, software, and other material (collectively "Content"), is owned or licensed property of OneAxis Cloud or its suppliers or licensors and is protected by copyright, trademark, patent, or other proprietary rights.

Client deliverables will be governed by the specific IP clauses within the signed MSA/SOW.

5. Limitation of Liability

To the fullest extent permitted by applicable law, OneAxis Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Site;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from the Site;
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Site by any third party.

6. Indemnification

You agree to defend, indemnify, and hold harmless OneAxis Cloud, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
